1. Definitions

For the purposes of these Terms & Conditions and all related policies of MindShaper, the following definitions shall apply unless the context otherwise requires:

1.1 Company

"MindShaper", "MindShaper Limited", "we", "our", or "us" refers to MindShaper Limited, its affiliates, subsidiaries, directors, officers, employees, contractors, consultants, licensed psychologists, counselors, therapists, authorized representatives, and any person acting on behalf of MindShaper.

1.2 Platform

"Platform" means the MindShaper website, mobile application, web application, online portal, client dashboard, therapist dashboard, communication channels, APIs, software systems, digital products, and all related online services owned or operated by MindShaper.

1.3 User

"User", "Client", "Customer", "Member", "you", or "your" means any individual or organization that accesses, visits, registers with, books appointments through, purchases services from, or otherwise uses the MindShaper Platform.

1.4 Mental Health Professional

"Mental Health Professional" means any licensed psychologist, clinical psychologist, counselor, psychotherapist, psychiatrist, consultant, trainer, or other qualified professional providing services through the MindShaper Platform.

1.5 Counseling Services

"Counseling Services" include psychological counseling, psychotherapy, consultation, emotional wellbeing support, coaching (where applicable), workshops, corporate wellbeing services, educational sessions, online therapy, offline therapy, group sessions, and any other mental health services offered through MindShaper.

1.6 Self-Assessment

"Self-Assessment" means any questionnaire, psychological screening tool, wellness assessment, mental health screening, symptom checker, or digital assessment made available through the Platform.

Self-Assessments are intended solely for educational and preliminary screening purposes and do not constitute a clinical diagnosis, medical opinion, or treatment recommendation.

1.7 Personal Information

"Personal Information" means any information that identifies or can reasonably identify an individual, including but not limited to:

  • Name
  • Date of birth
  • Gender
  • Email address
  • Phone number
  • National identification information
  • Emergency contact information
  • Payment information
  • Device information
  • Internet Protocol (IP) address
  • Any other identifiable information collected by MindShaper.

1.8 Sensitive Mental Health Information

"Sensitive Mental Health Information" means information relating to an individual's mental health, emotional wellbeing, counseling history, diagnoses, treatment plans, therapy notes, assessment responses, psychological reports, medications, or other health-related information collected while providing services.

1.9 Corporate Client

"Corporate Client" means any employer, educational institution, organization, government agency, non-governmental organization, healthcare provider, or other entity purchasing or receiving services from MindShaper on behalf of employees, students, members, or beneficiaries.

1.10 Emergency

"Emergency" means any circumstance involving an immediate or serious risk to life, physical safety, or health, including but not limited to:

MindShaper does not provide emergency medical or crisis intervention services.

  • Active suicidal intent or suicide attempt
  • Serious self-harm
  • Threats of violence toward others
  • Severe psychiatric crisis
  • Medical emergencies requiring immediate treatment
  • Situations requiring emergency medical intervention or hospitalization

1.11 Agreement

"Agreement" means these Terms & Conditions together with the Privacy Policy, Refund & Cancellation Policy, Teletherapy Consent, Self-Assessment Disclaimer, and any other policies published by MindShaper, all of which collectively govern the use of the Platform and Services.

1.12 Applicable Law

"Applicable Law" means all laws, regulations, rules, governmental orders, and legal requirements applicable to MindShaper and its users, including the laws of the People's Republic of Bangladesh.

2. Acceptance of Terms

2.1 Acceptance of this Agreement

By accessing, browsing, registering for, downloading, installing, purchasing, or otherwise using the MindShaper Platform or any of its Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions, our Privacy Policy, Refund & Cancellation Policy, Self-Assessment Disclaimer, Teletherapy Consent (where applicable), and any additional policies published by MindShaper from time to time (collectively referred to as the "Agreement").

If you do not agree with any part of this Agreement, you must immediately discontinue the use of the Platform and all related Services.

2.2 Legally Binding Agreement

This Agreement constitutes a legally binding contract between you and MindShaper Limited regarding your access to and use of the Platform and Services.

Your continued use of the Platform following any modification to this Agreement shall constitute your acceptance of those modifications.

2.3 Use on Behalf of Another Person

You may create an account, schedule appointments, or use the Platform on behalf of another individual only if you are legally authorized to do so, including as a parent, legal guardian, caregiver, or authorized representative.

By acting on behalf of another individual, you represent and warrant that you have obtained all necessary legal authority and consent.

MindShaper reserves the right to request evidence of such authorization at any time.

2.4 Organizational and Corporate Users

Organizations, employers, educational institutions, healthcare providers, government agencies, and other entities using MindShaper's corporate services agree to comply with these Terms & Conditions on behalf of their authorized users.

Each organization is responsible for ensuring that its authorized representatives comply with this Agreement.

2.5 Updates to the Agreement

MindShaper may revise, modify, replace, or update these Terms & Conditions at any time to:

Updated versions will become effective immediately upon publication on the Platform unless otherwise stated.

Where material changes significantly affect users' rights or obligations, MindShaper will make reasonable efforts to notify registered users through the Platform, email, or other appropriate communication channels.

  • comply with applicable laws and regulations;

  • address operational or security requirements;
  • reflect technological developments; or
  • protect the interests of MindShaper and its users.

2.6 Electronic Acceptance

You agree that your electronic acceptance of this Agreement, including by selecting an "I Agree" checkbox, clicking an acceptance button, registering an account, booking a service, or continuing to use the Platform, shall have the same legal effect as a handwritten signature to the fullest extent permitted by applicable law.

2.7 Additional Service-Specific Terms

Certain MindShaper Services, including but not limited to:

may be subject to additional terms, consent forms, or policies.

In the event of any conflict between these Terms & Conditions and any service-specific agreement, the service-specific agreement shall prevail only with respect to that particular service.

2.8 Right to Refuse Service

MindShaper reserves the right, at its sole discretion and in accordance with applicable law and professional ethical standards, to suspend, restrict, or terminate access to the Platform or Services if:

  • false or misleading information is provided;
  • these Terms are violated;
  • fraudulent or unlawful activity is suspected;
  • abusive, threatening, discriminatory, or inappropriate conduct occurs;

  • providing the requested service would be unlawful or professionally inappropriate.

2.9 Entire Agreement

This Agreement, together with all policies expressly incorporated by reference, constitutes the entire agreement between you and MindShaper regarding your use of the Platform and supersedes all prior discussions, communications, representations, or agreements relating to the same subject matter.

3. Services Offered

3.1 Overview

MindShaper is a mental health and wellbeing platform that facilitates access to qualified mental health professionals, educational resources, digital wellbeing tools, and corporate mental health solutions. The Services are intended to support psychological wellbeing and improve access to mental health care. Unless explicitly stated otherwise, MindShaper does not provide medical treatment, emergency healthcare, or inpatient psychiatric services.

3.2 Counseling Services

MindShaper may provide access to the following services through licensed or qualified mental health professionals:

  • Individual Counseling
  • Couples Counseling
  • Family Counseling
  • Child and Adolescent Counseling (where available)
  • Student Counseling
  • Career Counseling
  • Psychological Consultation

  • Follow-up Counseling Sessions
  • Group Counseling
  • Other mental health services introduced by MindShaper from time to time.

3.3 Online Counseling

MindShaper may offer counseling services through secure online communication channels, including video conferencing, voice calls, or other approved digital communication methods.

Online counseling is subject to:

MindShaper does not guarantee uninterrupted or error-free online communication.

  • professional availability;
  • internet connectivity;
  • technical limitations;
  • user consent; and
  • the Teletherapy Consent Policy.

3.4 Offline Counseling

MindShaper arrange in-person counseling sessions at designated locations.

Users are responsible for arriving on time and complying with the applicable appointment procedures.

3.5 Psychological Assessments

MindShaper may provide professionally administered psychological assessments conducted by qualified mental health professionals where clinically appropriate.

Assessment reports, interpretations, and recommendations shall be prepared only by authorized professionals.

3.6 Self-Assessment Tools

MindShaper may provide digital self-assessment questionnaires and screening tools to help users better understand their emotional wellbeing.

Users acknowledge and agree that:

Where assessment results indicate moderate, severe, or potentially high-risk symptoms, MindShaper may recommend booking an appointment with a qualified mental health professional.

  • Self-assessments are educational and screening tools only.
  • Self-assessments do not diagnose any mental health condition.
  • Assessment scores should not be interpreted as a medical opinion.
  • Assessment results should not replace consultation with a licensed psychologist, psychiatrist, or other qualified healthcare professional.
  • Users are solely responsible for deciding whether to seek professional assistance based on their assessment results.

3.7 Workshops and Training

MindShaper may organize:

3.8 Corporate Wellbeing Services

MindShaper may provide services to organizations, including but not limited to:

Unless expressly authorized by the employee or required by applicable law, individual counseling records, therapy notes, diagnoses, and personally identifiable assessment results shall remain confidential and will not be disclosed to the employer.

MindShaper may provide employers with aggregated, anonymized, or statistical reports that do not identify individual employees.

  • Mental wellbeing consultations
  • Psychological awareness programs
  • Stress management workshops
  • Leadership wellbeing programs
  • Organizational mental health initiatives
  • Employee self-assessment programs
  • Workplace counseling

3.9 Educational Content

MindShaper may publish articles, videos, podcasts, blogs, newsletters, infographics, social media content, research summaries, and other educational materials for general informational purposes.

Such materials are not intended to constitute professional psychological advice, diagnosis, or treatment.

3.10 Mobile Application and Digital Platform

MindShaper may provide digital services through its website, mobile application, and other online platforms, including:

Certain features may require account registration, identity verification, payment, or additional user consent.

  • Appointment booking
  • User account management
  • Secure messaging
  • Notifications
  • Educational resources
  • Self-assessments
  • Progress tracking
  • Digital wellbeing tools
  • Other features introduced from time to time.

3.11 Modification of Services

MindShaper reserves the right to introduce, modify, suspend, replace, or discontinue any Service or Platform feature at any time without prior notice where reasonably necessary for operational, technical, legal, or security reasons.

Such modifications shall not affect services already purchased unless required by law or unavoidable circumstances.

3.12 No Guarantee of Therapeutic Outcomes

MindShaper and its Mental Health Professionals strive to provide high-quality mental health services. However, mental health treatment outcomes vary among individuals and depend on numerous factors beyond the control of MindShaper.

Accordingly, MindShaper does not guarantee:

  • improvement in mental health;
  • successful treatment outcomes;
  • symptom resolution;
  • achievement of personal goals; or
  • any specific therapeutic result.

3.13 Professional Independence

Mental Health Professionals providing services through MindShaper exercise their independent professional judgment in accordance with applicable laws, ethical standards, and professional guidelines.

MindShaper does not direct or control the clinical opinions, diagnoses, treatment plans, or therapeutic decisions made by Mental Health Professionals, except as necessary to ensure compliance with applicable laws, professional standards, and platform policies.

4. User Accounts, Registration & Eligibility

4.1 Account Registration

Certain features of the Platform require users to create a registered account.

By creating an account, you agree to provide accurate, complete, and up-to-date information and to promptly update such information whenever necessary.

MindShaper reserves the right to verify the information provided during registration where reasonably necessary.

4.2 Information You Provide

When registering for an account or using our Services, you may be required to provide information including, but not limited to:

  • Age
  • Gender
  • Email Address
  • Mobile Number
  • Residential Address
  • Emergency Contact Information
  • Identification Information
  • Medical or Mental Health Information relevant to the requested service

4.3 One Account Per User

Unless expressly authorized by MindShaper, each individual may maintain only one personal account.

You may not:

MindShaper reserves the right to merge, suspend, or permanently remove duplicate or fraudulent accounts.

  • create multiple accounts for yourself;
  • impersonate another person;
  • create an account using false information;
  • use another person's account without authorization.

4.4 Account Security

You are solely responsible for:

MindShaper shall not be responsible for any loss arising from your failure to maintain the security of your account.

  • all activities that occur under your account.

4.5 Identity Verification

MindShaper may request identity verification before providing certain services, including but not limited to:

  • payment-related matters;
  • account recovery;
  • compliance with legal or regulatory requirements.

4.6 Corporate Accounts

Organizations purchasing MindShaper Services shall designate authorized administrators to manage employee or member enrollment.

Corporate administrators shall:

  • maintain accurate organizational information;
  • ensure that enrolled users are authorized to participate;
  • protect organizational account credentials;
  • comply with these Terms & Conditions.

4.7 User Responsibilities

You agree that you shall:

  • use the Platform lawfully;
  • provide truthful information;
  • respect Mental Health Professionals and other users;
  • attend scheduled appointments on time;
  • comply with all Platform policies;
  • refrain from interfering with Platform operations.

4.8 Prohibited Activities

Users shall not:

Any violation may result in immediate suspension or termination of the account and may also lead to legal action where appropriate.

  • provide false or misleading information;
  • impersonate another individual or organization;
  • use the Platform for unlawful purposes;
  • harass, threaten, abuse, or discriminate against any person;
  • upload malicious software or harmful code;
  • attempt unauthorized access to any account, system, or database;
  • interfere with the security or functionality of the Platform;
  • scrape, copy, or harvest Platform data without authorization;
  • use automated systems, bots, or scripts to access the Platform unless expressly permitted by MindShaper.

4.9 Account Suspension

MindShaper may temporarily suspend an account where:

  • fraudulent activity is suspected;
  • inaccurate information has been provided;
  • payment remains outstanding;
  • security concerns arise;
  • these Terms & Conditions have been violated;

4.10 Account Termination

MindShaper may permanently terminate an account if:

  • abusive behavior toward staff or Mental Health Professionals occurs;
  • the Platform is used in a manner inconsistent with applicable law or professional ethics.

4.11 User-Initiated Account Closure

You may request closure of your account at any time by contacting MindShaper.

Account closure does not automatically result in the deletion of all records. Certain information may be retained for legal, regulatory, professional, accounting, fraud prevention, dispute resolution, or record-keeping purposes in accordance with applicable law and our Privacy Policy.

4.12 Survival of Obligations

Termination or suspension of an account shall not affect provisions of these Terms relating to confidentiality, payment obligations, intellectual property, limitation of liability, dispute resolution, or any other provision that by its nature is intended to survive termination.

5. Appointments, Counseling Sessions & Teletherapy

5.1 Booking Appointments

Appointments may be booked through the MindShaper website, mobile application, customer support, or any other communication channel officially authorized by MindShaper.

An appointment shall be considered confirmed only after:

MindShaper reserves the right to decline or postpone any appointment due to professional availability, operational requirements, or other reasonable circumstances.

  • successful booking through an approved channel;
  • payment has been received where advance payment is required; and
  • confirmation has been issued by MindShaper.

5.2 Appointment Availability

Appointment dates and times are subject to the availability of the assigned Mental Health Professional.

MindShaper does not guarantee that a user's preferred appointment date, time, or Mental Health Professional will always be available.

5.3 Online Counseling Sessions

Online counseling sessions may be conducted using secure communication technologies approved by MindShaper, including video conferencing, voice calls, or other secure digital platforms.

Users acknowledge that online counseling may involve risks associated with internet connectivity, technical failures, software interruptions, or device limitations.

MindShaper will make reasonable efforts to provide uninterrupted services but cannot guarantee continuous availability of electronic communication systems.

5.4 In-Person Counseling Sessions

Where available, counseling sessions also be conducted in person at designated locations.

Users are responsible for:

MindShaper reserves the right to refuse service to any individual whose behavior threatens the safety, dignity, or wellbeing of others.

  • arriving on time;
  • following venue rules;
  • maintaining respectful behavior toward staff and other visitors.

5.5 Session Duration

Unless otherwise specified, each counseling session shall have the duration communicated at the time of booking.

Different services, including individual counseling, couples counseling, family counseling, workshops, or assessments, may have different session durations.

5.6 Late Arrival

Users are expected to join or arrive at the scheduled appointment time.

If a user arrives late:

  • the session may still end at its originally scheduled time;
  • additional time cannot be guaranteed;
  • the full consultation fee may remain payable.

5.7 Missed Appointments (No-Show)

A "No-Show" occurs when a user fails to attend a scheduled appointment without providing prior notice in accordance with the Refund & Cancellation Policy.

Missed appointments may result in:

Repeated missed appointments may result in restrictions on future bookings.

  • forfeiture of the session fee;
  • deduction from a purchased package;
  • rescheduling charges where applicable.

5.8 Rescheduling by the User

Users may request to reschedule an appointment by providing advance notice in accordance with the Refund & Cancellation Policy.

Rescheduling requests are subject to:

MindShaper reserves the right to limit repeated rescheduling requests where such requests significantly affect service delivery.

  • counselor availability;
  • operational feasibility; and
  • any applicable fees or policy restrictions.

5.9 Rescheduling by MindShaper

MindShaper may reschedule an appointment where reasonably necessary, including but not limited to:

Where reasonably practicable, users will be notified as soon as possible and offered an alternative appointment.

  • illness or emergency involving the Mental Health Professional;
  • technical difficulties;
  • unforeseen operational issues;
  • public emergencies;
  • natural disasters;
  • circumstances beyond MindShaper's reasonable control.

5.10 Change of Mental Health Professional

MindShaper may assign a different Mental Health Professional where reasonably necessary due to:

  • scheduling conflicts;
  • illness;
  • leave of absence;
  • professional availability;
  • conflict of interest;
  • other operational or ethical reasons.

5.11 Technical Interruptions

During online counseling sessions, technical problems may occur due to internet connectivity, hardware failure, software malfunction, or power interruption.

Where a session is materially disrupted by technical issues beyond the reasonable control of either party, MindShaper will make reasonable efforts to:

  • reconnect the session;
  • continue the remaining session time where feasible; or
  • reschedule the session where appropriate.

5.12 User Responsibilities During Sessions

Users agree to:

Failure to comply may result in termination of the session without refund where permitted by the Refund & Cancellation Policy.

  • participate respectfully;
  • provide accurate and relevant information;
  • attend sessions from a safe and private environment whenever reasonably possible;
  • avoid recording sessions without prior written consent;
  • refrain from abusive, threatening, discriminatory, or inappropriate behavior.

5.13 Therapist Responsibilities

Mental Health Professionals providing services through MindShaper shall:

Nothing in these Terms shall require a Mental Health Professional to provide services that are inconsistent with professional ethics or applicable law.

  • exercise independent professional judgment;
  • comply with applicable professional ethics;
  • maintain confidentiality subject to applicable law;
  • provide services within the limits of their professional competence.

5.14 Emergency Situations

MindShaper does not provide emergency medical care, emergency psychiatric services, or crisis intervention.

Users experiencing:

must immediately contact their local emergency services, visit the nearest hospital, or seek urgent assistance from an appropriate emergency healthcare provider.

MindShaper cannot guarantee immediate responses to messages, appointment requests, or communications submitted through the Platform.

  • suicidal thoughts;
  • suicide attempts;
  • serious self-harm;
  • violent behavior;
  • medical emergencies;
  • immediate risk to themselves or others,

5.15 Professional Boundaries

Counseling services are intended solely for legitimate therapeutic and mental health purposes.

Users shall not:

Mental Health Professionals reserve the right to discontinue services where professional boundaries are violated.

  • seek personal relationships with Mental Health Professionals;
  • request services outside professional boundaries;
  • engage in harassment, intimidation, or inappropriate conduct.

5.16 No Recording Policy

To protect the privacy and confidentiality of all parties, users shall not audio-record, video-record, photograph, livestream, or otherwise capture any counseling session without the prior written consent of both the Mental Health Professional and MindShaper.

Unauthorized recording may result in immediate termination of the session and suspension or termination of the user's account.

5.17 Continuity of Care

While MindShaper endeavors to provide continuity of care, uninterrupted access to the same Mental Health Professional cannot be guaranteed due to availability, leave, illness, resignation, or other circumstances.

Where a change becomes necessary, MindShaper will make reasonable efforts to facilitate an appropriate transition while respecting the user's preferences whenever practicable.
